Client Terms & Conditions

These Terms and Conditions (the “Terms”) set out the basis upon which Living Word International Ltd, incorporated in Cyprus (HE475425), with registered offices at Suit C. Office 5, Kiladon, Pissouri 4607, Limassol, Cyprus, and its UK branch Living Word Language Services International Ltd, company number 15603501, VAT number GB 470660200, registered at 1A Sandringham Drive, Spondon, Derbyshire DE21 7Q (together, “LWI”, “we”, “our”), will provide services to you (“Client”, “you”, “your”).
By engaging our services, you agree to these Terms. Any alternative terms must be agreed in writing by LWI.
1. Services
LWI provides language, translation, advertising, and marketing services.
The scope of services, fees, and timelines will be detailed in a proposal, quotation, or agreement confirmed in writing.
LWI reserves the right to refuse services that may be unlawful, defamatory, or contrary to our professional standards.
2. Quotations and Orders
Quotations are valid for 30 days from the date of issue unless otherwise stated.
An order is confirmed only once accepted in writing (email confirmation is sufficient).
LWI reserves the right to correct errors in quotations prior to acceptance.
3. Client Responsibilities
You agree to: provide all necessary materials, instructions, and information required for us to perform the services; ensure that materials provided do not infringe third-party rights; cooperate with us in good faith and respond promptly to requests for clarification.
4. Fees and Payment
Fees will be as set out in the quotation, order confirmation, or service agreement.
Unless otherwise agreed, invoices are payable within 30 days of issue.
Late payments may incur statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 (UK) or applicable Cyprus law.
LWI reserves the right to suspend services for overdue accounts.
5. Confidentiality
LWI will treat all client materials and information as confidential.
Confidentiality obligations do not apply to information that is public, independently developed, or lawfully obtained from third parties.
We may disclose information where required by law or regulatory authority.
6. Intellectual Property
All intellectual property rights in the final deliverables produced by LWI will transfer to the Client only upon full payment of all fees due.
LWI retains all rights in pre-existing materials, methodologies, tools, and know-how.
The Client warrants that any material provided does not infringe third-party rights.
7. Liability
LWI will perform services with reasonable skill and care.
Except in cases of wilful misconduct or gross negligence, our liability to the Client is limited to the amount paid for the relevant services.
LWI is not liable for indirect, consequential, or economic losses, including loss of profits, business, or data.
8. Termination
Either party may terminate the contract on 30 days’ written notice.
LWI may terminate immediately if the Client fails to pay fees when due, breaches these Terms, or becomes insolvent.
Upon termination, all outstanding fees for services delivered remain payable.
9. Force Majeure
LWI is not liable for delays or failure to perform due to events outside our reasonable control, including natural disasters, strikes, government restrictions, or technical failures.
10. Governing Law and Jurisdiction
For contracts entered into with the Cyprus company, these Terms are governed by Cyprus law, with disputes subject to the courts of Limassol, Cyprus.
For contracts entered into with the UK branch, these Terms are governed by the laws of England and Wales, with disputes subject to the courts of England and Wales.
